Public offer agreement

for access to the Vibe-BI SaaS platform

1. General provisions

1.1. This document is a public offer by PE Zakharchuk V. (the “Provider”) to enter into an agreement on the terms below with any individual or legal entity (the “Customer”) who accepts the offer by registering for Vibe-BI and/or paying for a subscription. 1.2. Acceptance occurs upon successful payment or upon starting to use the service after registration (trial period). 1.3. Vibe-BI is a cloud SaaS platform for collecting, analyzing, and visualizing marketing and business metrics.

2. Subject of the agreement

2.1. The Provider grants the Customer access to Vibe-BI according to the selected plan (Starter / Business / Agency), including: — client projects (sites) within plan limits; — data source connections (Google Analytics 4, Google Ads, Meta Ads, Google Search Console, and others) and ready-made analytics dashboard packages within the plan's included package count; — automatic email report delivery after each data refresh; — email support. 2.2. Specific limits (number of projects, packages per project, data refresh frequency, export quota) are defined by the selected plan and published on the Pricing page. 2.3. Beyond plan limits, the Customer may purchase additional paid add-ons (extra project, extra analytics package, daily data updates, temporary accelerated hourly updates, CRM connector, extended history export) — the list and pricing of add-ons are published on the Pricing page.

3. Service delivery

3.1. After registration the Customer receives trial access for a limited period. 3.2. Paid features are unlocked after subscription payment. 3.3. The service is considered delivered once the subscription is activated in the Customer account (Active status). 3.4. The Customer is responsible for keeping account credentials secure.

4. Pricing and payment

4.1. Subscription prices are listed on the Pricing page in UAH per calendar month. 4.2. Payment is made via Monobank Acquiring (Visa/Mastercard). 4.3. Subscriptions renew automatically unless canceled before the next billing date. 4.4. The Provider may change prices by publishing updated terms on the website. Changes apply from the next billing period for existing subscriptions. 4.5. Invoices are issued on the 21st of each month. Payment must be made by the 1st of the following month. In case of non-payment, the Provider grants a grace period of 3 (three) calendar days. If payment is not received by 00:00 on the 4th, the Provider is entitled to fully or partially suspend the Customer's access to the Application.

5. Official communication channels and financial notices

5.1. The email address specified by the Customer during registration or in the billing profile (Primary Financial Email) is recognized by the Parties as the official communication channel. Delivery by the Provider of invoices, acts, past-due notices, and service suspension notices to this address constitutes proper and official service of notice. 5.2. The Customer agrees that financial and system notifications (invoices, disconnection warnings, plan changes) are an integral part of the Service and are not advertising or marketing mailings. Responsibility for the accuracy and availability of the specified email lies with the Customer.

6. Digital delivery

6.1. As a digital service, access to the Vibe-BI web interface is granted immediately after successful payment or trial activation. 6.2. No physical goods are shipped.

7. Refunds

7.1. The Customer may cancel before paid access is activated. 7.2. After subscription activation, fees for the current paid period are non-refundable because digital access is granted immediately. 7.3. If the service is unavailable due to the Provider for more than 72 consecutive hours, the Customer may request a proportional refund or subscription extension. 7.4. Refund requests: support@vibe-bi.com.ua with subject “Refund” and payment reference.

8. Liability

8.1. The Provider is not liable for third-party outages (Google Analytics, ad platforms, etc.) or business decisions made from analytics data. 8.2. The service is provided “as is”. The Provider makes reasonable efforts to keep the platform available. 8.3. Total liability is limited to the amount paid for the last billing period.

9. Personal data

9.1. By registering, the Customer consents to processing personal data (email, name, company details) for service delivery and billing. 9.2. End-client data (metrics, reports) is processed only to provide analytics features and is not shared with third parties except as required by law.

11. Final provisions

11.1. The Provider may update this offer. The current version is always available at /offer. 11.2. Disputes are resolved by negotiation, otherwise under the laws of Ukraine. 11.3. Continued use of Vibe-BI confirms acceptance of these terms.

For EU and international clients

Vibe BI is not registered as a VAT payer in the EU. Invoices issued to buyers outside Ukraine are denominated in the buyer's currency, carry no VAT, and note that the reverse-charge mechanism applies (Art. 28b of the Polish VAT Act / Art. 196 of EU Council Directive 2006/112/EC, or the equivalent import-of-services rule in your own jurisdiction) — you self-assess VAT on your end. Ukraine's annual certificate of tax residency is available below (and in your Billing → Documents tab once you're a customer) so your accounting team can apply the reduced withholding tax rate under the relevant double-tax treaty instead of the 20% default.
